Nyborg-Mawent S.A.

This code was established so that the values included help us to shape the culture of our Company based on the principles of ethical conduct towards our employees, customers and business partners.

I. Human rights and labour practices

Nyborg-Mawent S.A. SA fully respects human rights.

In our activity we pay particular attention to:

A. Equal and non-discriminatory treatment, protection against bullying and harassment.
Nyborg Mawent ensures equal opportunities and treatment of all employees in order to prevent discrimination on the basis of ethnic origin, skin colour, gender, language, religion, political views, social and property status, as well as membership in national associations, sexual orientation, disability or age. Recruitment is carried out solely on the basis of personal data as well as professional qualifications, suitability for work and performance.

The company protects its employees from harassment in the workplace, especially as far as sexual, physical and mental abuse is concerned.
Nyborg-Mawent SA encourages to open dialogue between its managers and employees.
Complaints about human rights violations, unequal treatment or harassment at work are dealt according to procedure that can be conducted anonymously if necessary.

B. Health and safety at work.
The health and safety of employees is the highest priority at Nyborg-Mawent SA. The company provides a safe and healthy environment by complying to applicable laws and regulations, monitoring work process and identifying the associated hazards and risk assessment and opportunities regularly. The conclusions of these assesments are used to eliminate hazards and minimize risks.

D. Privacy
Nyborg-Mawent SA respects the privacy of its employees and protects their personal data in the best possible way in accordance with applicable privacy and data protection regulations. Employees’ personal data are collected and stored only when its required for effective professional activity or when it is required by law.

II. Environment

Nyborg-Mawent SA is committed to environmental protection and contributes to reduction of noise and harmful factors emissions by improving the manufacturing process and introducing innovative solutions to the product offer.

III. Fair practices

A. Bribes, gifts, anti-money laundering laws and conflicts of interests.

Nyborg Mawent SA requires all employees not to promise or gives bribes directly or indirectly to public officials and private business partners. This includes accepting and tolerating bribes or reaping any benefits as a result of such pracrises.

The employees of Nyborg-Mawent SA may not accept or propose gifts or favours that could be considered improper. If the exchange of gifts is customary in a certain cultural area, it can be only symbolic. The value of meals and entertainment must be within a reasonable range and must be accordant to local customs and traditions. Favours, gifts and entertainment may not be offered, promised or given if they can be interpreted as an attempt to improper influence on public or private partners.

Nyborg-Mawent SA does not support money loundering in any way. The company maintains business relationships with reputable partners, who are legally active and whose founds come from legal sources. All employees must pay attention to specific red flags – this may be the refusal to provide complete information or desire to pay in cash.

Conflicts of interest may arise when personal, family or other interests are contrary to the interests of Nyborg Mawent SA. All employees are obliged to make sure their own, direct and indirect, personal interests do not affect the interest of Nyborg-Mawent SA.

B. Fair competition and supporting local business.

Nyborg-Mawent SA supports fair competition between market participants under the applicable competition rules and ensures equal treatment of business partners and customers.

Our employees are not allowed:
– provide information about prices and other terms of sale, costs of production, sales volume and other sensitive data that may affect competition between companies in addition to normal sales contacts with customers;
– enter into agreements with competitors in order to exclude one of them from the market and boycott or refuse to do business with certain suppliers or competitors.
– obtain sensitive information about competitors by theft, bribery or transmission of false or falsified data or any other illegal act in order to gain a competitive advantage.

Nyborg-Mawent SA supports local entrepreneurship by giving priority to local businesses and services.

C. Promoting corporate social responsibility.
Nyborg-Mawent SA encourages its suppliers and distributors to take into account ethical, social and environmental issues, as well as criteria related to human rights, occupational health and safety and establishing an appropriate policy in this matter.

D. Intellectual Property and Confidentiality.
Nyborg-Mawent SA respects intellectual property rights of both business partners and competitors. The company does not violate the property laws and does not recognize counterfeiting and piracy. Employees should protect all confidential information of the Company’s business partners. Only those employees who need it to perform their duties have the access to this information.

IV. Involvement and community development.

Nyborg-Mawent SA is involved in the community around the company’s headquarters.

This involvement includes following activities:
– contribution to social, cultural or educational projects;
– maintain transparent relations with local authorities and politicians, without exercising improper influence and bribery.

V. Enforcement of the rules

A. Application
This “Code of Ethics” is binding for all employees and business partners of Nyborg-Mawent SA, regardless of form of cooperation. Everyone is obliged to exercise due diligence to ensure that these rules are complied with.

All employees are required to report any suspected violations of the law, of the Code of Ethics or the rules in force at Nyborg-Mawent SA. All inquiries regarding these rules or reports of their violation should be addresses to the immediate supervisors or HR department, in any form (e-mail, telephone, personal). Employees who report a breach in good faith do not face any negative consequences. Reports are treated confidentially and are anonymous.

B. Punishment for violations
Violation of the rules set out in this document is a subject to penalty be reprimand or, in serious cases, dismissal. Violation of applicable law may result in criminal prosecution.

C. Availability
This policy is available on the Internet and in the company. Employees are informed about the rules described above by the HR department when establishing employment relationship or other forms of cooperation.
